A Study of Listed Companies and Stock Markets in China 1990-2004” Abstract: In 1990, China opened two national stock exchanges in Shanghai and Shenzhen, which marked the formal endorsement of corporate reform by the central authority. As a socialist country led by a communist party, Chinese stock markets are uniquely dominated by former state-owned enterprises, in which the state, after restructuring, continues to hold two third of the shares of most listed companies. The co-presence of a majority state shareholder and many minority non-state shareholders raises interesting questions about the organizational foundation of Chinese market economy, that is, corporatization without outright privatization. How to understand this unique shareholding structure of Chinese public corporations? Will corporatization and listing improve the governance of former SOEs? Will China's corporate reform lead to privatization? What can we learn from the listing and trading practices about the ongoing institutional changes in China? How will the Chinese experiences enrich our existing theories of corporate governance and market transitions? These are the central questions this thesis intends to address.
